These GTC apply to all contracts between Clax Design and the customer for:
• Software development
• Websites & apps
• Games (Unity)
• Design & branding
• Marketing & advertising
• Company formation

Deviating customer terms do not apply.

§2 Conclusion of Contract

A contract is concluded by:
• Written offer + acceptance
• Online order
• Project approval
• Down payment

Offers are valid for 14 days.

§3 Scope of Services

The scope of services is determined exclusively by the offer.
Not included (unless expressly agreed):
• Third-party license costs
• Hosting fees
• App store fees
• Plugin licenses
• Third-party software

§4 Customer Cooperation Obligations

The customer must provide:
• Content
• Access data
• Feedback within 5 business days
• Approvals

Delays automatically extend project deadlines.

§5 Remuneration & Payment Terms

Payment model:
• 50% down payment
• 40% before handover
• 10% after acceptance

Payment term: 7 days
In case of default:
• Project stop
• Default interest according to §288 BGB
• Website blocking possible

§6 Acceptance

Acceptance is considered complete if:
• No defects are reported within 7 days
• The product is used productively

§7 Copyright & Usage Rights

Clax Design remains the author of the created works.
The customer receives usage rights only after full payment.
Source codes:
• Are only transferred if contractually agreed
• Otherwise, intellectual property remains with Clax Design
Resale or transfer only permitted with consent.

§8 Warranty

Warranty: 12 months
No liability for:
• Third-party plugins
• Hosting issues
• External APIs
• Changes by third parties

§9 Liability

Liability only in case of:
• Intent
• Gross negligence

No liability for:
• Lost profits
• Data loss
• SEO ranking
• Sales development

Maximum liability amount: project value

§10 Maintenance & Support

Support only with maintenance contract.
Without a contract, services are billed according to effort.

§11 Termination

Termination possible at any time.
Services already provided must be paid in full.

§12 Confidentiality

Both parties undertake to maintain confidentiality of all business and project data.

§13 Jurisdiction

Jurisdiction: Location of Nexts
German law applies.

§14 Severability Clause

If individual provisions are invalid, the rest remains valid.
